Disclaimer
While WRAP have taken reasonable steps to ensure the Dry Mixed Recycling (DMR)- MRF Model is accurate, WRAP does not accept liability for any loss, damage, cost, or expense incurred or arising from use and/or reliance on the DMR-MRF Model. Users are responsible for assessing the accuracy and conclusions of the content.
Terms and Conditions
1. Usage
a. The User is solely responsible for assessing the accuracy, suitability, and relevance of the DMR-MRF Model and any conclusions or outputs derived from its use.
b. By receiving access to and using the DMR-MRF Model, the User agrees to be bound by these terms and conditions. The User must not:
i. Host, publish, distribute, or make available the DMR-MRF Model, the Data or, any material, data or a variation of them on any website, applications, or other digital distribution channels.
ii. Create derivative works from the DMR-MRF Model, or any of the material or Data contained within it.
iii. Share, sublicense, transfer, or permit access to the DMR-MRF Model or the Data to any third party without prior written permission from WRAP.
iv. Use the DMR-MRF model or Data contained within it to approach and offer technical, operational or communication support to Local Authorities.
v. Use the DMR-MRF Model or the Data in any manner that suggests or implies that WRAP has endorsed a commercial product or service.
2. Confidentiality
a. “Confidential Information” means: all information (of whatever nature and however recorded or preserved) disclosed by WRAP to the User, which:
i. is marked as or has been otherwise indicated to be confidential; or
ii. derives value to a party or that party's Group from being confidential; or
iii. would be regarded as confidential by a reasonable business person,
iv. except to the extent that such information is already in the public domain at the time of disclosure; enters the public domain otherwise than by a breach of any obligation of confidentiality; known to the User before it is disclosed to that party by, or on behalf of, the other party; or information which is lawfully obtained.
b. The User shall treat the DMR-MRF Model, the Data, and any related information received as confidential and shall take all reasonable measures to protect it from unauthorised access, disclosure, or use and undertakes:
i. to keep the Confidential Information confidential and not to disclose it to anyone except as provided for by paragraph 2. c. and to ensure that the Confidential Information is protected with security measures and a degree of care that it would apply to its own confidential information;
ii. not to use the Confidential Information otherwise than for the purpose of the Services; and
iii. to use all reasonable endeavours to ensure that any person to whom it passes any Confidential Information (unless disclosed under paragraph 2. c.) acknowledges and complies with this provision as if that person were also a party to it.
c. Each of WRAP and User agrees that the other may disclose Confidential Information:
i. to members of its Group and their officers, directors, employees and professional advisers to the extent necessary for the purpose of the Services and to any auditors of members of its Group;
ii. where:
1. requested or required by any court of competent jurisdiction or any competent judicial, governmental, supervisory or regulatory body;
2. required by the rules of any stock exchange on which the shares or other securities of any member of its Group are listed; or
3. required by the laws or regulations of any country with jurisdiction over the affairs of any member of its Group; or
d. Each of WRAP and User agrees (to the extent permitted by law) to inform the other of the full circumstances of any disclosure:
i. under paragraph 2. c., provided that to the extent practicable each party will give the other party prior written notice, including a copy of the proposed disclosure, and take into account the other party’s reasonable requirements as to timing, content and manner of making; or
ii. upon becoming aware that Confidential Information has been disclosed in breach of these provisions and, without prejudice to any rights or remedies that the other party may have, the relevant party shall take such steps, or shall procure that such steps are taken, as the other party which may be damaged by such breach may reasonably require in order to remedy or mitigate the effects of such breach.
3. Intellectual Property Rights
a. “Intellectual Property” and “Intellectual Property Rights” means all and any current and future patents, trademarks (whether registered or unregistered), design rights, registered designs, trade or business names, know-how (including commercial know-how), copyright, (including rights in computer software and data), database rights, discoveries and inventions, confidential information and any other intellectual property rights of whatever nature and in every case in every part of the world and whether or not registered.
b. Users and WRAP shall each retain ownership of all their existing Intellectual Property Rights in existence at the commencement of the Services. Each party grants to the other party a non-exclusive, perpetual, irrevocable, worldwide and royalty-free license to use their existing Intellectual Property to the extent that it forms part of the output of the Services.
c. Intellectual Property that is created or developed by WRAP for the User in the course of the performance of the Services shall be the property of the User.
d. Access to the DMR-MRF Model does not transfer any ownership rights. All intellectual property rights in the DMR-MRF Model and the Data, including all proprietary know-how, remain the exclusive property of WRAP. WRAP retains full title and all associated rights, at all times.
e. User shall not redistribute or sell the DMR-MRF Model or its constituent Data.
f. The DMR-MRF Model and any Data contained within it which has been produced by WRAP may be copied or downloaded for your own use within the United Kingdom and compliant with these here Terms.
4. Liability
WRAP accepts no liability for any loss, damage, cost, expense, or other liability (whether direct, indirect, or consequential) arising from or in connection with the use of, or reliance upon, the DMR-MRF Model, the Data, or any outputs generated from it.
5. Amendments
Any amendment to these Terms and Conditions is ineffective unless in writing and signed by a duly authorised representative of WRAP and of User.
6. Law
These Terms and Conditions are governed by English law and WRAP and User submit to the non-exclusive jurisdiction of the English courts.
By using the DMR-MRF Model, you are confirming that you have read, understood and accept these Terms and Conditions.
